About the role
We are seeking a talented and experienced Corporate Counsel to join our team. As Corporate Counsel, you will play a pivotal role in providing strategic legal advice and helping the business navigate complex legal issues, particularly in the cryptocurrency space. You will work closely with the CEO and other stakeholders on executive legal matters, including corporate strategy, M&A and litigation, while also overseeing day-to-day legal work such as commercial contracting, corporate governance and regulatory matters (including MiCAR and related EU financial regulation). 

About the role

Responsibilities:

  • Act as a trusted legal advisor to the CEO and leadership team on strategic initiatives, corporate structure, funding rounds and M&A opportunities.

  • Assess legal risks of new business lines, products and partnerships and propose business-oriented solutions.

  • Support strategic decision-making on group structure, cross-border setups and regulatory positioning

  • Lead or support M&A transactions, investments and joint ventures, including due diligence, structuring, documentation and closing.

  • Draft, review and negotiate a wide range of commercial agreements (e.g. liquidity/market making agreements, MLAs, custody and wallet agreements, SaaS, outsourcing, licensing, data processing agreements, NDAs).

  • Develop and maintain contract templates, playbooks and negotiation standards.

  • Manage actual and threatened disputes, including strategy, correspondence, settlement negotiations and coordination with external counsel.

  • Prepare, review and maintain board and committee charters, internal governance frameworks and decision-making matrices.

  • Support the preparation of board and shareholder meetings, including agenda setting, documentation and minute-keeping from a legal perspective.

  • Track and report on key legal metrics and matters to the CEO and other stakeholders where relevant.

What you bring:

  • Qualified lawyer in an EU or common law jurisdiction.

  • 5–8+ years of post-qualification experience in a leading law firm and/or in-house in fintech, financial services or technology.

  • Prior exposure to financial regulation and/or crypto / digital assets is a strong plus; genuine interest in the sector is essential.

  • Familiarity with (or strong appetite to learn) MiCAR and broader EU financial services regulation (e.g. AML, EMIR/MiFID-type frameworks).

  • Proven track record in negotiating complex agreements with sophisticated counterparties (investors, institutions, liquidity providers, vendors).

  • Comfortable leading negotiations end-to-end, while knowing when to involve internal stakeholders or external counsel.

  • High standards of integrity and professional ethics; you are comfortable challenging decisions where necessary.

  • Strong judgment in ambiguous situations; you can say “yes, if…” and “no, unless…” with well-structured reasoning.
